Terms and Conditions.
These Terms and Conditions ("Terms") govern your access to and use of vectrasourcing.app (the "Site") and the services offered by Vectra Sourcing LLC ("Vectra Sourcing," "we," "our," or "us"). By using the Site or engaging us for sourcing services, you agree to these Terms.
If you do not agree, don't use the Site or our services.
1. Who we are
Vectra Sourcing LLC is a limited liability company that provides product and inventory sourcing services to retailers, resellers, and operators. We act as a sourcing partner: you submit a request, we match it to verified supply in our network, and we coordinate procurement and delivery.
2. Eligibility
You must be at least 18 years old and authorized to enter agreements on behalf of any business you represent. By using the Site, you confirm that you meet these requirements.
3. The service
When you submit a sourcing request through the Site or by email, we'll respond with availability, pricing, and an estimated timeline. If you accept a quote in writing, we coordinate procurement and delivery.
A formal engagement begins only when both parties agree to a quote in writing (email or signed document). Until then, no contract exists; we're not obligated to source for you and you're not obligated to buy from us.
4. Quotes and pricing
All prices are quoted in US dollars unless stated otherwise. Quotes are valid for the period stated in the quote (typically seven business days) and may change due to supplier availability, market conditions, freight costs, currency fluctuations, or other factors outside our control.
5. Payment
Payment terms are agreed at the time of quote acceptance. Unless otherwise agreed:
- New customers pay in advance or upon shipment
- Established customers may be eligible for net-30 terms upon credit review
- Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower
6. Authenticity, condition, and returns
We verify authenticity and condition of products before they ship. If a product arrives in materially different condition than represented in the quote, contact us within seven business days of receipt for resolution — replacement, partial refund, or full refund depending on the circumstances.
We don't accept returns for buyer's remorse, ordering errors on your end, or normal market price fluctuations after purchase. Manufacturer warranties pass through to you when applicable.
7. Shipping and risk of loss
Risk of loss transfers to you when goods are picked up by the carrier (FOB origin) unless your quote explicitly states otherwise. We arrange shipping when requested but aren't responsible for carrier delays, damage in transit, or weather-related disruptions.
8. Your submissions
Information you submit (sourcing requests, messages, business details) must be truthful and accurate. By submitting, you confirm that you have the right to share it and that doing so doesn't violate any third-party rights or applicable laws.
We may use anonymized, aggregated information from submissions to improve our services and identify market trends. We don't share identifiable details of your requests publicly.
9. Acceptable use
Don't use the Site or our services to:
- Submit fraudulent requests or false information
- Source items prohibited by law (controlled substances, counterfeit goods, regulated weapons, etc.)
- Resell goods in ways that violate manufacturer terms or applicable law
- Harass us, our staff, or our suppliers
- Reverse-engineer, scrape, or otherwise interfere with the operation of the Site
We may decline service or terminate engagements at our discretion if these terms are violated.
10. Intellectual property
The Site, its content, branding, and related materials are owned by Vectra Sourcing LLC or licensed to us. You may not copy, modify, distribute, or create derivative works without permission.
You retain ownership of information you submit. By submitting, you grant us a non-exclusive, worldwide, royalty-free license to use it as needed to provide our services and operate the business.
11. Disclaimers
THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
- We don't guarantee that any specific supplier, price, or product will be available at any given time
- We don't guarantee uninterrupted or error-free operation of the Site
- We don't make warranties about the products themselves beyond what's expressly stated in the quote — manufacturer warranties pass through to you when applicable
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total cumulative liability arising from or related to these Terms or our services is limited to the amount you paid us in the twelve months preceding the claim
- We're not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, loss of business opportunity, or loss of data — even if we've been advised of the possibility
Some jurisdictions don't allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted.
13. Indemnification
You agree to indemnify and hold harmless Vectra Sourcing LLC, its officers, members, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your violation of these Terms, your misuse of the Site or our services, or your infringement of any third-party rights.
14. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Kentucky without regard to its conflict-of-laws provisions. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Madison County, Kentucky, and you consent to personal jurisdiction in those courts.
15. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including supplier failures, carrier disruptions, natural disasters, government actions, labor disputes, or pandemics.
16. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms with a new "Last updated" date at the top. Continued use of the Site or our services after changes constitutes acceptance.
17. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions stay in full effect.
18. Entire agreement
These Terms, along with our Privacy Policy and any signed quote or engagement letter, constitute the entire agreement between you and Vectra Sourcing LLC regarding the Site and our services.
